2017 Florida Annual Report

Between January 1 and May 1 (we prefer to say April 30) Florida Business Owners must file their Florida Annual Report with the Division of Corporations, Department of State. This Annual Report is filed online at www.sunbiz.org. If the Report is not filed on time, you will have to pay the lovely late fee of $550.00 and the state will dissolve the company on September 25.

The process is very easy, you only need your document number, you can change Directors, Address, update your FEIN at the same time.

What is an annual report?

  • You will update or confirms your business information with the Florida Department of State, Division of Corporations’ records.
  • An annual report must be filed  between January 1 and May 1 each year  to maintain an “active status” with the Department of State.
  • It is required, whether or not you need to make changes.
  • The data displayed on the entity’s annual report is the most current data on file with the Division of Corporations.
  • If you pay after May 1st a $400 late fee will be imposed on all profit corporations, limited liability companies, limited partnerships and limited liability limited partnerships.

Corporation Fees

Non-Profit Annual Report $61.25  
Profit Annual Report (with supplemental fee) $150.00  
Profit Annual Report (received after May 1st) $550.00


Limited Liability Company Fees

Annual Report (with supplemental fee) $138.75  
Annual Report (received after May 1st) $538.75
